- Collect the final bids and assist you in evaluating them.
- Lead negotiations on price and other terms & conditions attached to the final term sheet received.

Key activities
- Coordinate meetings/calls between Management and the PE firm.
- Oversee the due diligence process and coordinate subsequent Q&A sessions.
- Lead negotiations on the initial term sheet (non-binding offer).
- Collect the final offer and assist you in evaluating it.
- Lead negotiations on price, other terms and conditions attached to the final offer received.
- Undertake commercial review of the legal documentation (together with the legal advisors on the Transaction) ie Share Purchase Agreement ("SPA") and Shareholders Agreement ("SHA").
- Assist in the finalization of the other deal closing documentations.
- Coordinate deal closing procedures.
